Terms of Service

Please read these Terms of Service ("Terms") carefully before using the QRwise platform and related services (the "Services") operated by AGA PayWise Inc. ("AGA PayWise", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Services

QRwise provides a QR code-based digital ordering and payment platform designed for Canadian food service businesses, including restaurants, cafés, bars, and food trucks. The Services include:

  • A merchant dashboard to manage digital menus, tables, orders, and account settings;
  • A guest-facing ordering interface accessed via QR code, enabling guests to browse menus and submit orders without downloading an app;
  • Payment processing facilitated through Stripe, Inc. on behalf of merchant subscribers.

2. Eligibility and Account Registration

To use the merchant Services, you must be at least 18 years of age and authorized to operate a food service business in Canada. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at legal@agapaywise.com if you suspect unauthorized access.

3. Subscription Plans and Billing

Access to merchant features requires an active subscription. Plans are offered at the pricing described on our website and are billed in Canadian dollars (CAD). Applicable taxes (GST, HST, or PST) are added based on your province of operation.

Subscriptions are processed through Stripe. By subscribing, you authorize AGA PayWise and Stripe to charge your designated payment method on a recurring basis. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

We reserve the right to modify pricing with at least 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

4. Free Trial

We may offer a free trial period for new merchant accounts. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel prior to the trial expiration. No charges are applied during the trial period.

5. Guest Ordering

Guests who scan a merchant's QR code and place an order agree to the following: orders submitted through the platform are subject to the merchant's acceptance; payment is processed by Stripe; and AGA PayWise is not a party to the transaction between the guest and the merchant. Refund and dispute policies are governed by the individual merchant's settings and Stripe's dispute resolution process.

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable federal, provincial, or local law or regulation;
  • Transmit or upload malicious code or interfere with the operation of the platform;
  • Impersonate another business or person, or misrepresent your affiliation with any entity;
  • Engage in any fraudulent activity, including creating fictitious orders or manipulating payment flows;
  • Scrape, copy, or reverse-engineer any part of the Services without written permission.

We reserve the right to suspend or terminate accounts found in violation of these restrictions without prior notice.

7. Intellectual Property

All content, software, trademarks, and materials comprising the Services are the property of AGA PayWise or its licensors and are protected by Canadian and international intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding.

You retain ownership of the menu content, product descriptions, and images you upload to the platform. By uploading such content, you grant AGA PayWise a non-exclusive, royalty-free license to display and serve that content to guests as required to provide the Services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

AGA PayWise is not responsible for the quality, safety, or legality of any food or beverages offered by merchants on the platform.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGA PAYWISE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AGA PAYWISE IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Canadian law.

10. Indemnification

You agree to indemnify and hold harmless AGA PayWise and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may terminate your account at any time by cancelling your subscription and ceasing use of the Services. We may suspend or terminate your account immediately if you breach these Terms or if we are required to do so by applicable law.

Upon termination, your right to use the Services ceases immediately. We may retain certain data as required by applicable law or our Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree that any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the Regional Municipality of York, Ontario.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any competent court.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated by email or by a prominent notice within the Services at least 14 days before the change takes effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
